Our Corporate/Banking/Finance Practice:


Given the rapidly changing economic landscape of Sri Lanka, it is only natural that Corporate work has become the largest practice area of the firm.

Our highly regarded team of lawyers have experience in advising on mergers, acquisitions, foreign investments, joint ventures, IPO’s, restructuring, out-sourcing, capital markets, regulation and compliance and a host of other areas in the field.


The Firm has acted in a number of cases concerning privatisation of State ventures & infra-structure development, including BOT, BOOT and BOO projects. We negotiate with the relevant authorities/bodies on behalf of prospective investors and guide them through all the legal requirements and issues pertaining to their venture.






The Firm advises on project financing- secured/unsecured, syndicated and non-syndicated lending activities, guarantees and security documents; letters of credit and performance bonds, regulatory and compliance matters; banker-customer issues; recoveries, enforcement in Sri Lanka of judgments obtained in foreign jurisdictions and other banking related matters.






As lawyers to several major international companies, the Varners legal team is available   around the clock for matters concerning commercial/employment advice and legal work in company/employment issues.


Varners has a large and active practice in the area of commercial law. The Firm advises on security regulations, commercial agreements and negotiations, public offers of equity and debt securities, takeovers, mergers, restructuring, liquidation/winding up, as well as shareholder disputes, conflicts amongst directors, and other corporate matters. We also advise on cross border transactions such as export sales, purchase and supply of goods and equipment from overseas suppliers, turn-key contracts in several areas of activities. The Firm has been retained by many foreign corporate clients to act for them in registering branch offices and representative offices in Sri Lanka. We also provide high quality corporate secretarial services to a large number of corporate clients through an affiliated Firm.

Our employment practice includes drafting of employment contracts and manuals and assisting in immigration issues for expatriate employees.




Intellectual Property:


This is a practice area where the firm is particularly strong. Varners is much sought after for its expertise on designs and patents, registering of trademarks and copyright matters. We further handle enforcement of Intellectual Property rights, litigation involving infringement of trademarks, franchising, licensing, sale and purchase of intellectual property; investigations and carrying out searches at the National Intellectual Property Office. The Firm also acts as correspondent for several major IP firms in India, Singapore and Malaysia.


There has been a significant increase in the Firm’s IP work during the past few years.


The Firm has been actively involved in advising and acting for a large clientele consisting of multinational companies, pharmaceutical companies, banks, financial institutions and other local and international companies on brand development, protection and prosecution of trademarks, patents and designs, anti-counterfeiting actions, as well as on infringements of IP rights.


Amongst others, our major clients are Prima Limited of Singapore, Crocodile International Pte Ltd., Caterpillar Inc., Samsung Corporation, ITC Ltd., Vodafone Group, Dr. Ing. H. C. F. Porsche AG, Phoenix Ventures Limited and MAS Holdings, the latter two being the two largest exporters in Sri Lanka. Some of our Indian clients include the Institute of Chartered Financial Analysts of India, Britannia Industries Limited (India), Raymond Ltd. (India) and Council of Scientific and Industrial Research (India).


The Firm has also undertaken the filing and prosecution of Trademarks/Patents on behalf  of Alkem Laboratories, Sun Pharmaceutical Industries Limited (both large Indian Pahrma companies), ICC Development (International) Limited (the Cricket controlling body), Rip Curl International Pty Ltd., Starbucks Corporation, Matsushita Electric Industrial  Co. This, again, is a particularly strong practice area of the Firm. We advise on corporate/ individual tax issues as well as transaction related taxes, both direct and indirect. Our tax lawyers work on international tax matters, identification of tax efficient structuring of mergers and acquisitions, outsourcing and real estate.


The Firm provides advice on tax issues to local and foreign corporate clients, foreign investors and individuals assisting with negotiations with authorities such as the Inland Revenue Department and the Board of Investment of Sri Lanka. The Firm has successfully negotiated maximum tax exemptions as well as extensions of exemption periods for companies through agreements with the Board of Investment. The Firm also provides general advice on taxation in Sri Lanka to foreign law firms and consultancy firms, as well as to foreign entities that engage in business/trade with Sri Lankan counterparts.
